Public Contract (Offer) for the Retail Sale of Goods

Version of 07.10.2026. The Ukrainian text of this document prevails in case of discrepancy.

1. General

1.1. This document is the official public offer of the individual entrepreneur (FOP) — (the Seller) to conclude a retail sale contract for the goods listed in the Mia online shop at mia-chemistry.vercel.app (the Site) on the terms below.

1.2. The contract is a public contract under Articles 633, 641 and 698 of the Civil Code of Ukraine and is concluded electronically in the manner set out in Article 11 of the Law of Ukraine "On Electronic Commerce". Its terms are the same for all buyers.

1.3. By placing an order on the Site the Buyer confirms that they have read this Contract, the Privacy Policy and the "Delivery and Payment" and "Returns" pages and accept them in full and without reservation.

1.4. The Buyer is a natural person who orders goods for personal needs unrelated to business activity. Relations between the Seller and the Buyer are governed by this Contract, the Civil Code of Ukraine and the Laws of Ukraine "On Consumer Protection" and "On Electronic Commerce".

3. Definitions

  • Goods — household chemicals, hygiene products, cosmetics and related items listed on the Site.
  • Order — a request placed by the Buyer through the Site to buy selected Goods, stating the delivery and payment method.
  • Clearance item — Goods sold at a reduced price because of a defect described on the product page (damaged packaging, a scratched bottle and the like). The description and photos of the defect are shown on the product page.
  • Acceptance — the Buyer's full and unconditional acceptance of this Contract by placing an Order.

4. Subject of the contract

4.1. The Seller undertakes to transfer the Goods into the Buyer's ownership, and the Buyer undertakes to accept and pay for the Goods on the terms of this Contract.

4.2. Information about the Goods (name, manufacturer, composition, volume or weight, purpose, storage conditions, warnings, best-before date, price) is shown on the product page. Images may differ slightly from the actual appearance because of packaging changes by the manufacturer or colour reproduction.

5. Placing an order and concluding the contract

5.1. The Buyer selects Goods, adds them to the cart, enters the recipient's details, chooses the delivery and payment method and presses the "Confirm order" button. Until that button is pressed the Buyer can change the contents of the Order and the entered data.

5.2. Pressing the "Confirm order" button constitutes acceptance of this offer (Article 11(6) of the Law of Ukraine "On Electronic Commerce"). The contract is concluded when the Buyer receives confirmation that the Order has been accepted.

5.3. The Seller confirms receipt of the Order without delay by an electronic message: to the messenger (Telegram, Viber) connected by the Buyer and/or to the email address given by the Buyer, or, if neither was given, by SMS to the phone number given, with a link to the Order page on the Site. The confirmation (in the message or on the Order page it links to) states the Order number, the list and quantity of Goods, the price, the delivery cost, the payment method, the recipient's details, the Seller's details, the procedure for claims, the warranty obligations, the delivery terms, the terms of exchange and return, and the version of this Contract that applies to the Order. The Order page is available to the Buyer without signing in via the link in the message, is not changed by the Seller unilaterally and can be saved or printed. The confirmation is deemed received when the Buyer gains access to it (Article 11(7) of the Law of Ukraine "On Electronic Commerce").

5.4. If ordered Goods are out of stock, the Seller notifies the Buyer without delay and no later than 30 days after the Order was placed and, at the Buyer's choice, offers a replacement or cancels the Order. Substitution with other Goods is possible only with the Buyer's consent. Prepayment for a cancelled Order is refunded within 7 days.

5.5. The Buyer may cancel an Order before it is handed to the carrier or collected from the shop by contacting the Seller using the details in section 2. Any prepayment is refunded in full.

5.6. The place of conclusion of the contract is the Seller's actual residence.

6. Price and payment

6.1. Prices on the Site are in Ukrainian hryvnia and include all taxes and duties required by law. The delivery cost is not included in the price of the Goods and is determined under the "Delivery and Payment" page.

6.2. The price of the Goods is fixed at the moment the Order is confirmed and does not change for that Order. The Seller may change prices on the Site before an Order is placed.

6.3. For discounted Goods the Site shows the regular price and the discounted price. For Clearance items it shows the reduced price and the description of the defect.

6.4. Payment methods:

  • online by bank card via the monopay service (JSC "UNIVERSAL BANK"); card data is processed by the bank and is not received by the Seller;
  • in cash or by card when collecting the Order from the Seller's shop;
  • cash on delivery when receiving the shipment at a Nova Poshta branch or from a Nova Poshta courier; the money transfer fee is paid by the Buyer at the carrier's rates.

6.5. The payment methods available for a particular Order are shown during checkout.

6.6. The Seller provides the Buyer with a settlement document (electronic receipt) to the indicated email address or phone number no later than the moment the Goods are handed over.

7. Delivery

7.1. Delivery methods, timing, cost and restrictions are described on the "Delivery and Payment" page, which forms an integral part of this Contract.

7.2. The Seller hands the Order to the carrier or prepares it for collection within — after the Order is confirmed (for online payment, after the payment is credited). The delivery time depends on the destination and is determined by the carrier; in any case the Goods are delivered to the Buyer no later than 30 days after the Order was placed.

7.3. Ownership of the Goods and the risk of accidental damage pass to the Buyer when the Goods are received. On receipt the Buyer may inspect the shipment in the presence of the carrier's representative or a shop employee.

7.4. If the Buyer does not collect the shipment within the storage period set by the carrier, it is returned to the Seller. Prepayment is refunded to the Buyer less the Seller's actual costs of delivery and return of the shipment (Article 702(3) of the Civil Code of Ukraine).

8. Quality and warranty

8.1. The Seller delivers Goods of proper quality that match the information on the product page, in the manufacturer's packaging and within their best-before date.

8.2. For household chemicals, cosmetics and hygiene goods the warranty period is the best-before date set by the manufacturer and shown on the packaging (Article 7(3) of the Law of Ukraine "On Consumer Protection"). The Seller does not sell Goods without a stated best-before date or past that date.

8.3. If a defect is found within the best-before date, the Buyer has the rights provided by Article 8 of the Law of Ukraine "On Consumer Protection". The procedure is described on the "Returns" page.

8.4. A defect of a Clearance item that was described on the product page at the time of sale is not grounds for a claim against the Seller. For other defects not stated in the description the Buyer has the rights provided by Article 8 of the Law of Ukraine "On Consumer Protection".

9. Exchange and return

9.1. The Buyer may exchange or return non-food Goods of proper quality within 14 days, not counting the day of receipt, provided the Goods have not been used and their appearance, consumer properties, seals, labels and the settlement document are preserved (Article 9 and Article 13(4) of the Law of Ukraine "On Consumer Protection").

9.2. Goods of proper quality included in the list approved by Resolution of the Cabinet of Ministers of Ukraine No. 172 of 19 March 1994 are not subject to exchange or return, in particular perfumery and cosmetic products, sanitary hygiene items, toothbrushes, goods in aerosol packaging and the other goods listed on the "Returns" page.

9.3. The conditions, procedure and deadlines for exchange, return and refund are set out on the "Returns" page, which forms an integral part of this Contract.

10. Personal data

10.1. The Seller processes the Buyer's personal data to conclude and perform this Contract in accordance with the Law of Ukraine "On Personal Data Protection" and the Privacy Policy published on the Site.

11. Liability and disputes

11.1. The parties are liable for non-performance or improper performance of the Contract in accordance with the legislation of Ukraine.

11.2. The Seller is not liable for the consequences of using the Goods in breach of the manufacturer's instructions, the warnings on the packaging or the storage conditions.

11.3. Claims are accepted by email at —, by phone at — or at any of the Seller's shops. The Seller reviews a claim and replies within 10 days of receiving it. A dispute that cannot be settled by negotiation is resolved in court in accordance with the legislation of Ukraine.

11.4. The parties are released from liability for non-performance caused by force majeure (hostilities, natural disasters, power or communication outages, decisions of public authorities and the like) for the duration of such circumstances.

12. Term and amendments

12.1. The Contract enters into force upon acceptance and remains in force until the parties have fully performed their obligations.

12.2. The Seller may amend this Contract. A new version is published on the Site with its effective date. The version in force when an Order is placed applies to that Order. Every version can be saved and printed in a format that prevents its content from being altered.
